This March 2014 issue of Corporate Amicus carries two discussions of recent topics of interest. While the first article talks about provisions relating to 'Directors' in both old and new Companies Act, second article covers voting rights of holders of depository receipts abroad. CSR provisions are coming into force from 1st April 2014 and Ministry of Corporate Affairs, along with notification relating to effective date of Section 135 of the Companies Act, 2013, has also notified Companies (Corporate Social Responsibility Policy) Rules, 2014 in this regard. Ratio decidendi in this issue covers recent Delhi High Court judgment holding that separate application under Section 8 of the Arbitration and Conciliation Act, 1996 is not required as long as the arbitration agreement has been furnished. Bombay High Court has held that civil suit is permissible in a case when challenge to arbitral award is pending and this order is discussed in this issue.
